Upon acceptance as an AAE playtester, you are bound by the terms of this agreement (“Agreement”) made between you, as the playtester, and Alligator Alley Entertainment LLC (“AAE”) The Agreement establishes the terms and conditions of a planned disclosure of AAE’s confidential Playtest Documents.

Your participation in the Pre-Release Feedback Program is voluntary, done for your personal enjoyment, and does not constitute employment or an offer of employment between you and AAE. EA does not ask or require you to commit to any specific amount of time to participate in the Program. AAE expects you only to use your leisure time to participate as a playtester, and does not expect you to forego other activities, including gainful employment. Your participation as a playtester and any feedback, suggestions and comments you provide to AAE (“Feedback”) does not entitle you to receive compensation of any kind.

AAE shall have the right (but not the obligation), at its sole discretion, to credit you for the Feedback, and you grant AAE a license to attribute such Feedback to you. You grant AAE the right (but not the obligation) to use the Feedback for any purpose, including in any products, marketing, or other media, without your approval or notice, and without compensating you. You represent and warrant that (1) you have the right to enter into this Agreement and assign and grant these rights; and (2) any Feedback provided by you does not infringe any third-party intellectual property rights.

As an AAE playtester, you have a personal, limited, non-transferable, revocable, and non-exclusive license to use the information in the provided Playtest Documents for non-commercial use, subject to your compliance with this Agreement. You may print or photocopy the playtest material for personal use with the express intent of testing and evaluating the content presented in the Playtest Documents.

You also agree that receipt of any Playtest Documents is done in strict confidence and that you shall not, without the prior written consent of AAE, disclose the contents of the Playtest Documents to third parties or online.

You also agree to use the Playtest Documents solely for the limited purpose of testing and evaluating the game content presented, and you will not reveal the contents of the Playtest Documents to others, except to those individuals you recruit to help you test and evaluate the content. You also agree to inform all such individuals of the confidential nature of the playtest, upon which they agree to be bound by the terms and conditions of this Agreement prior to reviewing the Playtest Documents.

This Agreement is effective until terminated by you or AAE. AAE may also terminate this Agreement and your membership as a playtester if AAE determines that you have violated this Agreement or that there has been otherwise unlawful, improper or fraudulent use of AAE’s licensed material or intellectual property

This Agreement shall not be modified except by written consent from AAE. If AAE is required to enforce its rights hereunder in a court of competent jurisdiction, Recipient agrees to reimburse AAE for all costs and expenses of such litigation, including reasonable attorneys’ fees and court costs.
